Terms and Conditions

Effective Date: August 11, 2023

These Terms and Conditions govern participation in the Sky2Tours Independent Travel Agent Membership Program (the “Program”) operated by Sky2Tours, LLC (“Sky2Tours,” “Company,” “we,” “our,” or “us”). By applying for enrollment or participating in the Program, you agree to comply with the following Terms and Conditions.

1. Application for Enrollment

Individuals may apply to join the Sky2Tours Independent Travel Agent Membership Program by completing an enrollment application online, by telephone, or through any authorized enrollment process provided by Sky2Tours.

Submission of an application constitutes your acknowledgment and acceptance of these Terms and Conditions. Sky2Tours reserves the right to modify or update these Terms and Conditions at any time. Updated terms may be posted on the official Sky2Tours website and will become effective either on the stated effective date or within thirty (30) days of publication if no date is specified.

2. Membership Status

2.1 Certification as a Sky2Tours Agent

You will become an active Independent Travel Agent (“Agent”) once:

Your application has been approved by Sky2Tours; and
All applicable membership fees have been successfully processed.

Approval may require completion of the application, verification of qualifications, and compliance with any productivity requirements based on membership level. If your application is not approved, any collected membership fees may be refunded at the discretion of Sky2Tours.

2.2 Enrollment Through Authorized Partners

If your enrollment is submitted through an authorized Sky2Tours partner or reseller, your membership will only become active once Sky2Tours receives both:

your completed application, and
your membership payment.

Sky2Tours is not responsible for disputes or issues arising between you and any third-party reseller.

2.3 Membership Term and Renewal

Membership is valid for the period stated during enrollment.

Unless cancelled by either party before expiration, memberships may automatically renew for successive terms of the same duration, subject to the applicable renewal fees.

Sky2Tours reserves the right to adjust membership pricing or renewal fees at any time.

2.4 Membership Classifications

Sky2Tours may offer different membership levels, classifications, or agent ranks. These classifications, along with their associated requirements and benefits, may be introduced or modified at the sole discretion of Sky2Tours.

2.5 Multiple Membership Restrictions

To prevent abuse of the program, individuals may be restricted from enrolling multiple memberships within a short period of time. Sky2Tours reserves the right to cancel excessive or suspicious enrollments and refund payments when necessary.

2.6 Independent Contractor Relationship

Agents participating in the Sky2Tours Program operate as independent contractors and not as employees, partners, or representatives of Sky2Tours.

Nothing within these Terms establishes:

an employment relationship
a partnership
a joint venture
or any form of agency relationship beyond independent contractor status.

Agents are solely responsible for their own business operations, taxes, expenses, and compliance with applicable laws.

Agents may not represent themselves as employees of Sky2Tours.

2.7 Secondary Agent Memberships

Sky2Tours may allow additional agents (“Secondary Agents”) to operate under a Primary Agent membership depending on the membership level.

Individual Memberships

A limited number of Secondary Agents may be added under an individual membership.

Corporate Memberships

Corporate memberships may allow multiple Secondary Agents, subject to approval and applicable fees.

Fees

Secondary Agent fees will be disclosed at the time of enrollment and may be adjusted by Sky2Tours.

2.8 Relationship Between Primary and Secondary Agents

All commissions earned through Secondary Agents will be credited to the Primary Agent’s account.
Secondary Agents do not receive commission payments directly from Sky2Tours.
The Primary Agent assumes full responsibility for the conduct and compliance of any Secondary Agents under their membership.

3. Membership Duties and Opportunities

3.1 Agent Responsibilities

Agents agree to:

Promote travel services and generate travel sales through Sky2Tours.
Maintain professional standards consistent with the travel industry.
Provide prompt and courteous service to clients.
Follow all Sky2Tours policies, procedures, and operational guidelines.

Failure to comply may result in suspension or termination of membership.

3.2 Membership Benefits

Membership benefits may include access to:

booking platforms
training programs
industry partnerships
travel supplier relationships
marketing support
and other professional resources.

These benefits are non-transferable and may not be resold.

Sky2Tours may provide access to agency booking credentials or identification numbers for the purpose of booking travel through approved suppliers. These credentials may only be used for legitimate travel bookings.

Unauthorized use, manipulation, or misuse of agency credentials may result in immediate termination of membership.

3.3 Travel Opportunities and Industry Benefits

Agents may gain access to exclusive travel rates, training opportunities, industry events, and promotional programs made available through Sky2Tours or its travel partners.

Participation in such opportunities is discretionary and subject to eligibility requirements determined by Sky2Tours or its suppliers.

3.4 Productivity Requirements

Certain membership levels may require proof of travel sales productivity within a specified timeframe. Agents are responsible for providing requested documentation when requested by Sky2Tours.

Failure to meet productivity standards may result in a change of membership level or loss of certain program benefits.

3.5 Optional Programs and Training

Sky2Tours may offer optional training, certifications, tools, or educational programs designed to support agent success.

Because many of these resources involve digital training materials or proprietary content, such purchases are typically non-refundable once access has been granted.

4. Commissions and Earnings

Sky2Tours may provide Agents with commission payments generated through travel bookings made with approved suppliers.

Commission eligibility and payment structure are governed by the Sky2Tours Commission Plan, which may be updated periodically.

Commissions are considered earned once they have been received by Sky2Tours from the travel supplier and processed according to company policy.

Agents must report missing commission claims within six (6) months after the completion of travel or forfeit the right to claim such commissions.

5. Payment of Membership Fees

By enrolling in the program, you authorize Sky2Tours to process membership fees, renewal fees, and any applicable program charges using the payment method provided.

If any payment fails or becomes overdue, Sky2Tours may:

charge late fees
suspend membership benefits
offset outstanding balances against future commission payments
terminate membership access

Agents are responsible for maintaining accurate payment information.

6. Membership Cancellation and Termination

6.1 Termination by Sky2Tours

Sky2Tours reserves the right to suspend or terminate membership if an Agent:

violates these Terms and Conditions
engages in fraudulent or unethical conduct
misuses company resources or credentials
fails to maintain required standards of conduct.

In such cases, membership fees are generally non-refundable.

6.2 Cancellation by Member

Members may cancel their membership by contacting Sky2Tours before their renewal date. Cancellation will stop future billing but does not typically entitle the member to refunds for the current term unless required by law.

6.3 Return of Company Materials

Upon termination or cancellation, Agents must immediately cease use of:

Sky2Tours trademarks
company credentials
identification cards
confidential materials.

7. Marketing and Use of Sky2Tours Branding

Sky2Tours may provide marketing materials, branding resources, and promotional support to Agents.

Agents are granted a limited, non-transferable license to use Sky2Tours trademarks strictly for purposes related to promoting Sky2Tours travel services.

Agents may not alter, modify, or misuse company trademarks or supplier logos.

Sky2Tours reserves the right to require approval of marketing materials before public distribution.

8. Confidentiality

Agents may gain access to confidential information including:

training materials
supplier agreements
pricing structures
business strategies
client information.

Agents agree not to disclose or misuse confidential information during or after their membership with Sky2Tours.

9. Compliance With Laws

Agents agree to comply with all applicable laws, regulations, and licensing requirements in the jurisdictions where they operate.

Agents are responsible for obtaining any necessary:

business licenses
seller of travel registrations
insurance requirements.

Sky2Tours may request proof of compliance at any time.

10. Privacy

Agents agree to the Sky2Tours Privacy Policy regarding the collection and use of personal information.

11. Disclaimer of Warranties

Travel services are provided by third-party suppliers. Sky2Tours does not guarantee the quality, availability, or performance of any travel product provided by suppliers.

All services provided through the Sky2Tours Program are offered “as is” without warranties, except as required by law.

12. Testimonial and Media Release

Agents grant Sky2Tours permission to use their:

name
likeness
testimonials
photos
recorded statements

for educational or promotional purposes without additional compensation.

13. Limitation of Liability

To the fullest extent permitted by law, Sky2Tours shall not be liable for any indirect, incidental, or consequential damages related to participation in the Program.

Total liability shall not exceed the membership fees paid within the six months preceding the claim.

14. Dispute Resolution and Arbitration

Any dispute arising from these Terms or participation in the Program shall be resolved through binding arbitration unless the claim qualifies for small claims court.

Arbitration shall follow the rules of the American Arbitration Association (AAA) or another recognized arbitration body.

Claims must be filed individually and not as part of a class action.

The governing law shall be the laws of the state in which Sky2Tours is registered.

15. Entire Agreement

These Terms and Conditions represent the entire agreement between the Agent and Sky2Tours regarding participation in the Program and supersede all prior agreements or understandings.

Sky2Tours reserves the right to update these Terms and Conditions at any time.
